Terms of Service
1. Who you are contracting with
These Terms of Service (“Terms”) govern access to and use of the GenuisenL website, web application, mobile application, APIs, and related services (together, the “Service”). By creating an account, accepting these Terms at registration, or using the Service, you agree to these Terms, the Privacy Policy, and the Risk Disclosure. If you do not agree, do not use the Service. You must be at least 18 years old and legally able to use Spot crypto markets where you live.
2. Nature of the Service — software tooling only
GenuisenL provides software tooling that helps self-directed users connect their own exchange API credentials and operate optional automation, analytics, and risk-control features for Binance Spot markets. The Service is designed carefully as a technical product — not as discretionary managed investment, portfolio management, or financial advice.
- We do not take custody of your funds or exchange balances.
- We do not place orders with our capital; orders (if any) run under your keys on your exchange account.
- We do not guarantee profits, investment returns, or protection against loss.
- AI, rules engines, and signals can be wrong, delayed, incomplete, or unavailable.
3. Non-custodial; your exchange responsibilities
You connect API keys that you control. Cryptocurrency remains on the exchange. You alone are responsible for:
- securing API keys and disabling withdrawals on trading keys;
- IP restrictions and exchange permission settings (Spot trading + reading only is recommended);
- monitoring positions, balances, and notifications;
- redeeming Earn/locked balances if they block sells;
- taxes, reporting, and compliance with laws that apply to you (including any UAE VARA/SCA or other rules).
4. Spot only
The supported product path is Spot only. Futures, margin, and leveraged products are outside the supported path. Do not enable permissions you do not intend.
5. Subscription (GNL Pro)
Paid features generally require an active GNL Pro subscription billed at about $25 per 30 days (amounts configurable server-side; see Pricing). Billing runs via ClickiLink Partner payment links and its payment processors. GenuisenL does not store full payment card numbers. Access continues for the paid period unless renewed. Non-payment or expiry may disable trading features. Operational or App Review free access is not a public promise of free forever service.
6. Acceptable use
- No hacking, scanning, or attempts to access other tenants’ data or engines.
- No use to evade sanctions, AML laws, or exchange terms.
- No resale of the Service as a managed investment product without a separate written agreement.
- No harassment of infrastructure beyond normal product use.
We may suspend or terminate accounts for abuse, fraud, non-payment, legal risk, or violation of these Terms. Safety systems (kill switch, daily loss limits, stop floors, flatten-to-USDT) may interrupt trading. The kill switch is user-controlled; do not rely on the Service as a substitute for your own risk management.
7. No warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, non-infringement, uninterrupted access, accuracy of AI outputs, or error-free operation, to the fullest extent permitted by applicable UAE law.
8. Limitation of liability — please read
To the maximum extent permitted by applicable UAE law:
- Neither GenuisenL, nor its owners, operators, developers, contractors, nor suppliers are liable for any trading losses, opportunity costs, missed trades, bad fills, fees, slippage, Earn locks, API keys misconfiguration, exchange or LLM outages, network issues, or third-party failures (including Binance, ClickiLink, payment processors, hosting, SMTP, push, AI providers).
- We are not liable for indirect, incidental, special, consequential, punitive, or exemplary damages, or lost profits, data, or goodwill, even if advised of the possibility.
- Where liability cannot be fully excluded, our aggregate liability for claims arising out of the Service in any twelve-month period is limited to the greater of (a) the subscription fees you paid to us for that period, or (b) USD 50.
Some jurisdictions restrict certain limitations; those limitations apply only to the extent allowed. Nothing here limits liability that cannot be limited by law (e.g. fraud where mandatory).
9. Indemnity
You agree to indemnify and hold harmless GenuisenL and its operators, developers, and affiliates from claims, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your exchange activity, your content, or your violation of these Terms or applicable law — except to the extent caused by our willful misconduct where such carve-out is required by law.
10. Intellectual property
Software, branding (including the GNL mark and GenuisenL name), and documentation remain our property or our licensors’. You receive a limited, revocable, non-exclusive license to use the Service for your personal/business automation needs while subscribed and compliant. You retain ownership of your account data and exchange balances. You grant us a limited license to process data solely to operate the Service.
11. Changes
We may update the Service and these Terms. Material legal version changes appear in /api/legal/meta and on the legal pages. Continued use after notice may constitute acceptance where permitted by law.
12. Termination
You may stop using the Service and delete vault keys at any time. We may suspend or terminate access with or without notice for material breach, risk, or legal necessity. Sections on liability, indemnity, IP, and governing law survive termination.
13. Governing law & disputes
These Terms are governed by the laws of the United Arab Emirates. Courts of Dubai, UAE, are a preferred venue, without prejudice to mandatory consumer protections that may apply to you.
